Corporate & Securities Overview

G&P works closely with all kinds of public and private companies from start-ups to more established companies in various types of securities offerings, mergers and acquisitions, obtaining exchange listings and quotations and managing their securities reporting and compliance obligations.

Securities Offerings

G&P handles various types of securities offerings, including initial public offerings, secondary offerings, registered directs, debt issuances, shelf registrations, employee stock option and stock ownership plans, convertible debenture and preferred stock offerings, and others.

Mergers & Acquisitions

G&P's mergers and acquisitions practice helps to bring companies together to create more dynamic ones. We conduct due diligence, negotiate the merger or acquisition, structure the transaction, and takes the necessary steps to complete and close the transaction with all the necessary professionals and service providers.

Securities Regulation and Compliance

G&P guides companies through the vast number of legal and regulatory issues with the SEC and state securities authorities, confronting them so our clients can continue to focus on operating their businesses. We also have extensive experience in handling all of the reporting requirements a U.S. public company is subject to under the various securities laws and regulations.

Corporate Finance

G&P helps companies gain access to the capital they need to reach their objectives through public and private securities offerings, self-underwritten public offerings, reverse mergers and other transactions, with the assistance of our finance services affiliates.

Private & Public Offerings

G&P handles both initial public offerings as well as secondary offerings for seasoned issuers in connection with sales in the public market of debt and equity securities and the establishment and implementation of other financing strategies.

Reverse Mergers (APO)

There are a number of potential advantages to a reverse merger, which is also known as an Alternative Public Offering or APO, including the relative speed of an APO, and the fact that an APO is not dependent on limited IPO market windows. G&P can manage all of the steps necessary to complete an APO.

Self-Underwritten Public Offerings (GPO™)

G&P has developed a process for clients that want to go public directly without a reverse merger. This process of a self-underwritten offering is also known as a Gottbetter Public Offering™ or GPO. A GPO allows clients to avoid paying investment banker fees in advance with no guarantee of the desired result.

Private Company Transactions

When managing private company transactions, G&P's lawyers work to protect and preserve the value of assets, limit the exposure and liability of shareholders, structure transactions with a view to possible exit strategies, while taking advantage of available tax strategies in consultation with a company's tax advisor.
