Our lawyers handle all of the steps required to complete a self-underwritten public offering (GPO™), including:
- Corporate formation and organization
- Use of financing options, including a private placement offering to raise money for working capital, acquisitions and public offering expenses
- Filing a registration statement with the SEC and any required amendments in response to SEC comments
- Filing a Form 211 with FINRA for a stock listing and any required amendments in response to FINRA comments
- Filing a manual listing with Standard and Poor's for a secondary resale exemption
- Preparing state Blue Sky filings associated with the private placement offering
After approximately 180 days, the company will be a fully-reporting issuer with the SEC, trading on the OTC Bulletin Board with 100 percent of its stock in the hands of management and shareholders chosen by the company. By making the SEC, FINRA and S&P filings concurrently, our attorneys can help minimize the total time it takes for a company to complete the going public process.
